Welcome to WeddingShedding (“Platform”), a Platform owned and operated by Gangamma Devi Ventures, LLP ("we," "us," or "our"). We have created our Platform to help connect persons looking to plan weddings ("Clients" or "Customers") with independent vendors ("Vendors") offering wedding-related services. We act solely as an intermediary to facilitate connections between Clients and Vendors and do not provide, manage, guarantee or execute any services ourselves.

Our role is limited to providing access to the Platform's tools and features; all wedding related services are provided directly by independent Vendors, and we bear no responsibility for their performance, quality, or delivery.

By accessing, browsing, or using the Platform (including through the website www.weddingshedding.com or any mobile application), registering an account, or submitting any content ("Use"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy , and any additional guidelines or rules posted on the Platform. Use of this Platform shall be considered as deemed acceptance of these Terms. These Terms form a legally binding agreement between you and us.

We may update these Terms at any time by posting the revised version on the Platform. Please ensure that you periodically review these Terms to keep yourself updated with the latest amendments.

The "Last Updated" date at the top indicates the latest version of the Terms. Your continued Use of the Platform after any changes become effective constitutes acceptance of the revised Terms.

Eligibility

You must be at least 18 (eighteen) years old and have the legal capacity to enter into legally binding contracts under the laws of India, in order to use this Platform. By Using the Platform, you represent and warrant that you meet these requirements, that you are not restricted by any law, regulation, or court order from using the Platform, and that you will comply with all applicable laws and rules thereunder. Minors or individuals without legal capacity are prohibited from Using the Platform, and any such Use is void.

2. Description of Services

a) For Clients: You may browse Vendor profiles, view services, prices, reviews and contact Vendors directly through the Platform. All dealings, contracts, payments and disputes with Vendors are solely between you and the Vendor and usage of our Platform does not make us liable for the same, in any manner. You acknowledge that prices, availability, and service details are provided by Vendors and may change without notice to us.

b) For Vendors: You may register to create a profile, list services, set prices and receive inquiries from Clients. You are responsible for the accuracy, completeness and timeliness of your profile, service descriptions, pricing and compliance with all applicable laws, including licensing, taxation, and consumer protection regulations. You understand that all information displayed by you on our Platform, including photos and contact information, are being made available on a public forum.

c) Platform Role: We provide tools for communication, discovery, search, and basic transaction facilitation (e.g., messaging or inquiry forms) but do not endorse, verify, audit, or guarantee Vendor services, quality, delivery, performance, or compliance. For further clarity we are not a party to any Client-Vendor agreement, and all such agreements are direct between you and the Vendor. We reserve the right to modify or discontinue any Platform features at any time without liability.

3. User Accounts and Responsibilities

a) Registration: Registration requires providing accurate, current, and complete information (e.g., name, email, phone, and for Vendors, business details). You must maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access or breach via info@weddingshedding.com. You are solely responsible for all activities under your account.

b) Prohibited Conduct: You agree not to: (i) use false, misleading, or incomplete information; (ii) impersonate others or misrepresent your affiliation; (iii) upload third-party content without consent; (iv) upload photographs or content relating to minors; (v) interfere with the Platform's operation, security, or user experience (e.g., via denial-of-service attacks); (vi) upload, transmit, or distribute harmful content (e.g., viruses, malware, or spam); or (vii) violate laws, third-party rights (e.g., intellectual property), or our policies.

c) Clients: You must independently verify Vendor credentials, reviews, references, and suitability before engaging services. We do not perform background checks or quality assurances.

d) Vendors: You must ensure your services comply with all applicable laws and regulations; respond promptly and professionally to Client inquiries (within 48 (forty-eight) hours unless otherwise specified); honour all commitments, quotes, and agreements made with Clients; and maintain adequate insurance for your services. Failure to do so may result in removal from the Platform.

We reserve the right to monitor accounts for compliance and may require additional verification (e.g., identity documents) at our discretion.

4. User Content

a) "User Content" includes any profiles, reviews, ratings, photos, videos, descriptions, comments, or other materials you submit, upload, or generate on or through the Platform.

b) Ownership and License: You retain ownership of your User Content but grant us (and our affiliates, successors, and assigns) a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, create derivative works from, and otherwise make use of your User Content in any media or format for Platform operations, promotion, marketing, improvement, and any related business purposes. This includes featuring your Content in advertisements or third-party collaborations.

c) Representations and Warranties: You represent and warrant that your User Content: (i) is original and does not infringe any third-party rights (e.g., copyright, trademark, privacy, or publicity rights); (ii) complies with our content standards (no obscene, defamatory, harassing, discriminatory, fraudulent, or illegal material); and (iii) is accurate and not misleading. For reviews, you must disclose any incentives or relationships with Vendors.

d) Our Rights and Disclaimers: We may review, monitor, edit, remove, or refuse to post any User Content at our sole discretion, without notice or liability. We are not responsible for the accuracy, quality, or legality of User Content and do not endorse it. You acknowledge that other Users may access and use your Content at their own risk.

5. Prohibited Activities

You agree not to engage in any of the following, which may result in immediate account suspension, termination, or legal action:

a) Post spam, chain letters, pyramid schemes, or unsolicited communications.

b) Harass, defame, stalk, threaten, or discriminate against others based on race, gender, religion, or other protected characteristics.

c) Post any content that is in violation of applicable obscenity and child pornography laws.

d) Promote illegal activities, scams, violence, hate speech, or regulated substances without proper authorization.

e) Copy, reverse-engineer, decompile, or disrupt the Platform's functionality, including using bots, scripts, or unauthorized APIs.

f) Use automated tools to scrape, harvest, or extract data without our express written permission.

g) Attempt to gain unauthorized access to other accounts or systems.

h) Engage in fraudulent activities, such as fake reviews or bait-and-switch pricing.

We may report violations to authorities and cooperate with law enforcement as required.

6. Intellectual Property

The Platform, including its design, logos, software, databases, content, and all underlying technology, is owned by us or our licensors and protected by Indian copyright, trademark, patent, and other intellectual property laws, as well as international treaties. You receive a limited, revocable, non-exclusive, non-transferable license to Use the Platform solely for your personal, non-commercial purposes as a Client or legitimate business purposes as a Vendor. No other rights are granted, and any rights not expressly conferred are reserved. You may not remove any proprietary notices or create derivative works without permission.

7. Liability Disclaimer and Indemnification

a) Intermediary Status: Under Section 79 of the Information Technology Act, 2000, we act as an intermediary and are not liable for any User Content, Vendor services, User interactions, or third-party actions. We do not guarantee service quality, timeliness, fulfillment, availability, or accuracy of information on the Platform.

b) No Liability for Vendor Acts: We disclaim all liability for Vendor defaults, omissions, delays, quality issues, non-performance, cancellations, damages, injuries, or losses arising from Client-Vendor dealings. Clients expressly release us, our officers, directors, employees, and affiliates from all claims, demands, or liabilities related to Vendor services, including but not limited to property damage, personal injury, or financial losses.

c) Limitation of Liability: To the maximum extent permitted by law, our total aggregate liability to you (whether in contract, tort, strict liability, or otherwise) shall not exceed INR 1,000 (Indian Rupees One Thousand) per claim or series of related claims. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, or use.

d) Indemnification: You agree to indemnify, defend, and hold us, our affiliates, officers, directors, employees, agents, and licensors harmless from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (i) your Use of the Platform; (ii) your User Content; (iii) your breach of these Terms; (iv) your violation of any law or third-party right; or (v) any disputes or claims between you and a Vendor or other User. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate fully.

8. Termination

We may suspend or terminate your account, access, or Use of the Platform at any time, with or without cause, notice, or liability, including for violations of these Terms. Upon termination, all rights and licenses granted to you cease immediately, and you must delete any Platform-related data. Provisions that by their nature should survive termination (e.g., indemnification, liability limitations, intellectual property, and governing law) will continue to apply.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration under the Arbitration and Conciliation Act, 1996, before a single arbitrator appointed by the Company, conducted in Bangalore, India, in English. The arbitrator's award is final and binding. You waive any right to participate in a class action or representative proceeding. Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction for breaches of intellectual property or confidentiality obligations.

10. Miscellaneous

a) Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

b) Entire Agreement: These Terms, together with the Privacy Policy and any referenced guidelines, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements.

c) Waiver: No waiver of any term shall be deemed a further or continuing waiver.

d) Assignment: We may assign these Terms without your consent; you may not assign without our written approval.

By Using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of another entity, you represent that you have the authority to do so.
